These Website Terms of Use (the "Terms") govern your access to and use of www.covisio.com and any subdomain or page operated by Covisio LLC ("Covisio," "we," "us") (the "Site").
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms cover your use of the Site: the pages you read, the forms you submit, and the content we publish.
These Terms do not cover Covisio's services. If you engage Covisio, that engagement is governed by a signed Master Services Agreement, one or more Statements of Work, and a Data Processing Addendum. Those documents control the services relationship entirely. Nothing on this Site creates a services relationship, and nothing on this Site modifies a signed agreement.
Where these Terms and a signed agreement between you and Covisio conflict, the signed agreement governs.
Covisio LLC is a Delaware limited liability company operating from 323 20th St, #3, Brooklyn, NY 11215. We provide go-to-market advisory services to businesses.
The Site describes who we are and what we do. It is marketing and general information.
Nothing on the Site is an offer capable of acceptance. Descriptions of our services, capabilities, methods, or platform are general descriptions, not commitments, specifications, or warranties. The scope of any actual engagement is defined solely in a signed Statement of Work.
Nothing on the Site is professional advice. Content about go-to-market strategy, sales performance, or business operations is general in nature. It is not tailored to your circumstances and is not legal, financial, tax, or professional advice. Do not act on it without your own analysis or appropriate professional input.
Forward-looking statements. The Site may describe capabilities, integrations, or features that are planned or in development. These are not commitments to deliver, and are subject to change without notice.
Results described are not typical or guaranteed. Any outcomes, metrics, testimonials, or case examples on the Site reflect specific situations. They are not a prediction, projection, or guarantee of the results you would achieve. Results depend on factors specific to each business and outside our control.
You may access and use the Site for lawful purposes: to learn about Covisio, to evaluate whether to engage us, and to contact us.
You must not:
- use the Site in violation of any applicable law;
- attempt to gain unauthorized access to the Site, its servers, or any connected system;
- probe, scan, or test the vulnerability of the Site or breach any security or authentication measure, other than through the coordinated disclosure process in Section 12;
- interfere with or disrupt the Site, including by placing undue load on it;
- scrape, crawl, harvest, or use automated means to extract content or contact information, except for standard search-engine indexing consistent with our robots directives;
- use the Site or its content to train a machine learning or artificial intelligence model;
- submit false, misleading, or third-party personal information through our forms, or submit another person's contact details without their permission;
- transmit malware, or use the Site to send unsolicited commercial communications; orcopy, reproduce, republish, or redistribute Site content except as permitted in Section 6.
All content on the Site — text, graphics, logos, images, layout, design, and the selection and arrangement of it — is owned by Covisio or its licensors and is protected by intellectual property law. "Covisio," "Deal Mastery," and our logos are our marks.
You may view the Site, and print or download individual pages for your own internal reference and evaluation. That is the extent of the licence. You may not otherwise reproduce, distribute, modify, publicly display, or create derivative works from Site content without our prior written consent, and you must not remove any proprietary notice.
You may link to the Site, provided the link is not misleading and does not imply an endorsement, sponsorship, or relationship that does not exist.
When you complete a form on the Site, you provide us your contact details and your message. You confirm that the information is accurate, that it is yours to provide, and that you are authorized to give it.
We use what you submit to respond to you and to manage the relationship you are asking about. How we handle personal information is described in our Privacy Policy, at www.covisio.com/privacy-policy.
Do not submit confidential or sensitive information through the Site's forms. A form submission is not a confidential communication and does not create a confidentiality obligation. If you need to share confidential information with us, ask us for a non-disclosure agreement first.
Covisio operates the Deal Mastery Community, a members' area where participants can exchange material and discuss go-to-market practice. Participation is subject to these Terms in addition to any registration requirements we set.
Eligibility. The Community is for business users. You must be at least 18, register with accurate information, and not share your access with anyone else. You are responsible for activity that occurs under your access.
Your content. "Your Contributions" means anything you post, upload, or submit to the Community. You retain ownership of Your Contributions. You grant Covisio a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, display, and distribute Your Contributions for the purpose of operating and promoting the Community. This licence ends when Your Contributions are removed, except for copies already distributed to other members and for routine backup copies retained for a limited period.
What you promise. You confirm that you have the right to post Your Contributions, that they do not infringe anyone's rights or breach any confidentiality obligation you owe, and that they contain no personal information about anyone other than yourself without that person's permission.
Do not post confidential information. The Community is not a confidential forum. Do not post your employer's confidential information, customer or prospect details, deal specifics that identify a third party, or anything subject to an NDA. Covisio owes you no confidentiality obligation for anything posted in the Community.
Conduct. You must not post anything unlawful, defamatory, harassing, discriminatory, obscene, or threatening; impersonate anyone; post malware or spam; advertise or solicit without our written permission; scrape or harvest member information; or use the Community to recruit members away from it. You must not use Community content to train a machine learning or artificial intelligence model.
Other members' content. Contributions are made by members, not by Covisio. We do not endorse, verify, or take responsibility for them, and they are not advice. Rely on them at your own risk.
Our rights. We may, but are not obliged to, monitor the Community. We may remove any Contribution, and suspend or terminate any member's access, at our discretion and without notice, including for breach of these Terms. We may modify or discontinue the Community at any time.
Reporting. To report a Contribution that breaches these Terms, or a claim that content infringes your rights, email legal@covisio.com with enough detail to identify the content and the issue.
The Site may link to third-party websites. We do not control them, do not endorse them, and are not responsible for their content, products, or privacy practices. Your use of a third-party site is governed by that site's terms.
If you send us suggestions, ideas, or feedback about Covisio, the Site, or our services, we may use it for any purpose without restriction, attribution, or compensation. Do not send us feedback you consider confidential or proprietary.
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, COVISIO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Site is free of harmful components. We do not warrant that Site content is accurate, complete, or current, and we may change it at any time without notice.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, some of the above may not apply to you.
If you believe you have found a security vulnerability affecting the Site, please report it to security@covisio.com rather than disclosing it publicly or exploiting it. Give us reasonable detail and a reasonable opportunity to investigate and remediate. We will not pursue action against good-faith research that follows this process, stays within the Site, avoids privacy violations and service degradation, and does not access or modify data belonging to others.
TO THE FULLEST EXTENT PERMITTED BY LAW, COVISIO AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100).
This Section does not limit liability that cannot be limited by law. It does not apply to liability under a signed agreement between you and Covisio, which is governed by that agreement's own limitation of liability.
You will indemnify and hold harmless Covisio and its members, officers, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site, or your violation of law or of a third party's rights in connection with the Site.
Our handling of personal information is described in our Privacy Policy, at www.covisio.com/privacy-policy, which is incorporated into these Terms by reference.
We may modify, suspend, or discontinue the Site or any part of it at any time, with or without notice. We are not liable to you for doing so.
We may update these Terms. We will revise the "Last updated" date above, and material changes take effect when posted. Your continued use of the Site after a change constitutes acceptance. Review these Terms periodically.
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles.
Any dispute arising from or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in New York County, New York. You consent to the personal jurisdiction of those courts and waive any objection to venue.
Jury trial waiver. Each party waives any right to a trial by jury in any action arising from or relating to these Terms or the Site.
Class action waiver. To the fullest extent permitted by law, you and Covisio each agree to bring any claim arising from or relating to these Terms or the Site only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. A court may not consolidate the claims of more than one person, and may not preside over any form of class or representative proceeding, in relation to these Terms.
If this class action waiver is held unenforceable as to a particular claim or remedy, that claim or remedy will be severed and brought in court, and the remainder of this Section will continue to apply to all other claims.
Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remainder stays in effect.
No waiver. Our failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Covisio regarding the Site, and supersede any prior understanding on that subject. They do not supersede any signed agreement between you and Covisio.
Export and sanctions. You may not use the Site in violation of US export control or sanctions law, or if you are located in an embargoed jurisdiction or on a restricted-party list.
